Corporation presents itself to the public as a corporation. Although the online filing system of the secretary of state displayed a screen to print out that said "successfully incorporated" and the $100 filing fee was charged to the incorporator's bank account, the secretary of state's office has no record of Corporation ever being formed. CEO, acting on behalf of Corporation, contracts with Supplier. When Supplier breaches the contract:

a) only CEO will be able to sue.
b) only Corporation will be able to sue.
c) both CEO and Corporation will be able to sue.
d) no one can sue on the contract, as no contract was ever formed.
